Terms of Service

These terms govern your use of Wardio at wardioai.com. Wardio is a service that guards paid campaigns on Meta. This English text is the binding version of the agreement; any translation is provided for convenience only. This document is a draft and has not yet been reviewed by counsel.

Who this is for

Wardio is sold to businesses. You must be at least 18 and acting on behalf of a business. One account represents one business unless we agree otherwise in writing. You are responsible for keeping your credentials private and for everything done through your account.

Trial and billing

The trial runs 14 days with every feature enabled, and no payment method is required to start it. Paid subscriptions bill monthly or yearly in US dollars through Paddle. Nothing is charged until you pick a plan and pay. There is no permanently free plan.

  • You can cancel at any time from inside the product, in one click.
  • Cancellation takes effect at the end of the billing period already under way.
  • We do not pro-rate a period that has already started, except where the law requires it.

Who takes your payment

Our order process is conducted by our online reseller Paddle.com (Paddle.com Market Ltd, London, for buyers outside the United States, and Paddle.com Inc., New York, for buyers in the United States). Paddle is the Merchant of Record for all our orders: the contracting party for the payment transaction, the issuer of the invoice, the collector of any sales tax or VAT due in your country, and the handler of order-related enquiries and returns. Paddle's buyer terms apply to the payment alongside these terms.

Right to cancel and refunds

Our refund policy is published at wardioai.com/legal/refund and forms part of these terms. Consumers in the European Union and the United Kingdom have a statutory 14-day right of withdrawal, and consumers in Israel have cancellation rights for distance contracts. Because this service is sold to businesses, those consumer rights will usually not apply to you. Where they do apply, they are not reduced by anything in these terms.

What you may and may not do

You get a limited, non-exclusive, non-transferable licence to use the service for your own business.

  • Do not use it for anything unlawful.
  • Do not resell the data or the output as a competing service.
  • Do not reverse engineer the service or work around rate limits, seat counts or credit limits.

Specific to Wardio

You grant us read access to your advertising accounts for the sole purpose of providing the service. Wardio reports what it finds; it does not change your campaigns. Should acting rules be introduced later, they will require write access you grant separately, run according to rules you set, and remain your responsibility. We are not responsible for campaign results, for the amounts the advertising platforms charge you, or for decisions made by Meta or Google.

Availability and support

We target 99.5% monthly availability. Entry plans do not carry a contractual service level. Planned maintenance is announced in advance when we can announce it.

Intellectual property

The software, its design and the brand belong to us. Your data stays yours. Nothing in these terms transfers ownership of your data to us.

Limitation of liability

Our liability is limited to the amount you paid in the twelve months before the event. We are not liable for indirect or consequential loss. Nothing here excludes liability that cannot be excluded by law. [Counsel: full drafting required.]

Ending the agreement

We may suspend an account for a material breach after giving reasonable notice. When an account closes, your data is kept for 30 days so you can export it, then deleted.

Governing law

Israeli law applies, and the courts of Tel Aviv have jurisdiction. [Counsel, open item: customers are international from day one, so the enforceability of an exclusive Israeli forum against an EU business or consumer needs to be confirmed, and reconciled with the forum clause in the payment provider agreement once one is signed.]

Changes

We will give 14 days notice by email and inside the product before changing these terms. The operator is Tomer Polat, trading as Tomaso Tech, a sole proprietorship registered in Israel, Derech Ben Gurion 136, Bat Yam, Israel.
